Quad's Brown Acquisition Passes Hart-Scott-Rodino
SUSSEX, WI—Quad/Graphics Inc. and Waseca, MN-based Brown Printing jointly announced that the waiting period for antitrust review of the proposed combination of the two companies under the Hart-Scott-Rodino Act expired on May 19, with no action taken by the Federal Trade Commission.
Quad/Graphics and Brown, a $350 million publication and catalog printing specialist, can now move forward with their proposed sale agreement, announced on April 7. Quad is acquiring Brown from Gruner + Jahr for $100 million. The transaction is expected to close in the next few weeks.
