xpedx Provides Additional Details on its Pending Acquisition of Central Lewmar

LOVELAND, OH—August 13, 2007—xpedx parent International Paper Co. today announced that xpedx will acquire Central Lewmar, Strategic Paper Co., and all other Central Lewmar companies. Privately held Central Lewmar is a large Newark, NJ-based distributor of printing and publishing papers with more than $900 million in 2006 revenues. It will become a division of xpedx. xpedx said that North America printers and publishers would not see any immediate changes following the close of the acquisition in about 30 days. G-P Stock Purchased by Koch Industries

ATLANTA—Koch Forest Products, a subsidiary of Koch Industries, will pay $48 a share to acquire paper manufacturing giant Georgia-Pacific (G-P). Included in the transaction are all assets of G-P, including its North American and international consumer products segments, as well as its building products, packaging, paper and bleached board segments. The deal has an equity value of $13.2 billion and a total enterprise value of $21 billion. The price paid to shareholders represents a premium of 39 percent based on the closing price of G-P common stock on November 11. The transaction is not conditioned on financing. PALO ALTO, CA—Hewlett-Packard Co. (HP) has signed an agreement to acquire substantially all of the assets of Scitex Vision from Scitex Corp. for $230 million.
