Quad did not go public to raise cash, but rather to facilitate a stock exchange with Worldcolor to complete the acquisition.
MONTRÉAL—As expected, this week World Color Press received final approval from the Québec Superior Court (Commercial Division) for its "plan of arrangement," clearing the way for it to be acquired by Quad/Graphics. The companies also announced the terms of the share exchange for Worldcolor stock holders.
The newly expanded Quad/Graphics has sales of $4.8 billion, making it the second-largest provider of print and related multichannel solutions in the Americas.
The final order approving the plan of arrangement under the Canada Business Corporations Act was granted in the Québec Superior Court (Commercial Division).
SUSSEX, WI—Quad/Graphics Inc. and Worldcolor Press announced that their respective shareholders have approved the previously-announced acquisition of Worldcolor by Quad/Graphics. Quad/Graphics shareholder approval was obtained on Thursday while earlier Friday, at the special meeting of Worldcolor shareholders held in Toronto, approximately 91.78 percent of the votes cast were voted in favor of the special resolution authorizing the arrangement.
The deal remains subject to the approval of the Québec Superior Court and other customary closing conditions.
WYSZKOW, POLAND—QuadWinkowski, the Poland-based printing enterprise owned by Quad/Graphics, announced the consolidation of its operations into a single, large-scale production facility. By consolidating its Pila production operations into its 721,00-square-foot Wyszkow plant, the company will drive increased operational efficiencies while giving its magazine and catalog clientele an expanded range of capabilities from a single location.
The company will move the majority of the Piła plant’s high-speed web offset presses and binding equipment to Wyszków.
SUSSEX, WI—Magazines, catalogs and retail advertising can now be published for the Apple iPad, iPhone and iPod Touch from the Quad/Graphics Digital Edition platform. The solution gives Quad/Graphics' clients the ability to distribute content by print and mail, digital edition and branded Apple apps.
Quad anticipates the shares will begin trading on the NYSE on July 6. Worldcolor acquisition is expected to be completed on July 2.
