CHICAGO and HOUSTON—RR Donnelley and Consolidated Graphics (CGX) jointly announced today that they have signed a definitive agreement by which RR Donnelley will acquire CGX, a provider of digital and commercial printing, fulfillment services, print management and proprietary Internet-based technology solutions. The agreement has been unanimously approved by each company's board of directors.

Many employees of RR Donnelley's Jefferson City (MO) plant had their last full day of work Monday, with massive layoffs to begin October 1.
Data Reporting Specialist Randy Ponder said the atmosphere at the plant was sad Monday. "It was a great place to work, it had great benefits and great pay," Ponder said. "It will be deeply missed."

In an underwritten public offering, R.R. Donnelley & Sons Company plans to offer $350 million of senior notes due 2022. The company intends to use the net proceeds from this offering to fund tender offers of its notes due in 2015, 2017 and 2018, and to pay premiums in connection with those tender offers.
