Valassis Nixes ADVO Deal LIVONIA, MI—Alleging fraud, Valassis Communications has sued ADVO in chancery court to rescind its $1.3 billion merger agreement. Valassis alleges ADVO intentionally provided false information and “withheld material information” regarding operating income. The suit also alleges ADVO executives knew of significant internal control deficiencies associated with ADVO’s order-to-cash system. ADVO sees the move as “merely a smokescreen to hide the fact that Valassis is suffering from an extreme case of buyer’s remorse,” and plans to contest the action. PLYMOUTH, MN—July 31, 2006—Synergy Graphics Inc. has recently purchased the web, mailing and fulfillment assets of Scoville Press Inc. of Plymouth, MN. Financial details of the transaction between the two privately held companies were not disclosed. With the acquisition, Synergy broadened its range of commercial printing services, which now includes web, digital, and sheet-fed printing, plus a host of in-house mailing, fulfillment, finishing and other post-print capabilities. The asset purchase now means Synergy has operations in three locations: Fridley, MN – fulfillment and mailing; Plymouth, MN – printing and finishing; and St. Cloud, MN – election services and supplies.
